TENTH: THE BUYER recognizes that all notary expenses related to the closing and registration of the Sales of Agreement Deed in the Public Registry.
ELEVENTH: This contract can be modified or altered only through written agreement by THE PARTIES, and no act or omission of any employee or agent of the parties or any broker, if any, will alter, change or modify any of the dispositions of this contract.
TWELFTH: Both parties will manifest that their respective benefits keep strict equivalences, by which the present contract is subscribed with full reciprocity between the obligations assumed by THE BUYER AND THE SELLER.
THIRTEENTH: By this mean, and during the validity of the present contract, the parties will commit not to offer, transfer, total or partial rights that arise unless prior agreement and joint consent otherwise provided.
FOURTEENTH: The fact that one of the parties allows, once or several times that the other fails to comply with their obligations or imperfectly meets or In a way different than agreed or does not insist in the exact compliance of the obligations due to them not deemed equivalent to the modification of the present CONTRACT, or in any case harm said party, in the future, insist in the faithful and specific compliance of the obligations due to the other, or exercise conventional or legal rights.
FIFTEENTH: So that the parties constitute an agreement that the present sales agreement, be in writing and be registered in the Public Registry complying with all the inherent formalities of sales agreements of real estate.
In faith and perseverance of which is presently signed and convened in Panama City on the twenty ninth (29) day of the month of august of two thousand sixteen (2016).

SHAREHOLDERS MEETING of company known as STARTING ENTERPRISE INC
Being two in the afternoon (2:00PM) of the fifteenth (15) of august of two thousand and sixteen (2016). Prior summons for this purpose, the total shareholder of the company STARTING ENTERPRISES INC met at Avenidad Federico Boyd and Calle 51 Bella Vista, Edificio Universal 10th FL. Panama City, which is found duly registered in the Public Registry of Panama, Commercial Microfilm Section, docket seven hundred thirty three thousand five hundred thirty five (733535), initial S.A. Redi Document one million nine hundred sixty thousand six hundred eighty seven (1966687)—Present was Mr. KIM CONSTANTIN DUWE actual director and Secretary and absent Mr. HANS PETER DUWE who holds the position of President and Legal Representative. In lieu of the Director Presidents absence, an Interim President was chosen for the effects of holding the meeting of shareholders resulting in the election by unanimous vote Mr. ZOSIMO GUARDIA VARELA who took possession of the position. Once declared open the Meeting of Shareholders and having verified that all 100% of issued shares and in circulation were present, with the right to vote are found and whose holders renounce the previous summons, the President passed to consider the order of the proposed day for this meeting for which it consists in: 1. AUTHORIZE the sale of the property of the company distinguished by number one hundred two thousand seventeen (102017) Location Code eight thousand seven hundred six (8706) registered on Redi document two million seven hundred thousand six hundred thirty seven (2007637) in The Horizontal Property Section pf the Public Registry of Panama in which consist of real estate property number twenty seven C (27C) of P.H. DENOVO located on Samuel Lewis St., Bella Vista, Panama City which measurements, boundaries and details are in the Public Registry.
2. Partially ENDORSE in favor of HANS PETER DUWE the funds product of the sale of the property of the company distinguished by number one hundred two thousand seventeen (102017) Location Code eight thousand seven hundred six (8706) registered on Redi document two million seven hundred thousand six hundred thirty seven (2007637) in The Horizontal Property Section pf the Public Registry of Panama.
3. AUTHORIZE Mr. ZOSIMO GUARDIA VARELA, male, Panamanian, married, lawyer, of legal age, with personal identity number eight four hundred sixty one four hundred twenty four (8-451-424) in name and representation of the company STARTING ENTERPRISES INC proceed to sell the property described above and sign all contracts, documents and/or deeds that are necessary to complete the sales agreement of this property until it is perfected, with the deed and transfer of it on the Public Registry of Panama.

IT IS AUTHORIZED the sale of the property of the company distinguished by number one hundred two thousand seventeen (102017) Location Code eight thousand seven hundred six (8706) registered on Redi document two million seven hundred thousand six hundred thirty seven (2007637) in The Horizontal Property Section pf the Public Registry of Panama of which unit number is twenty seven c (27C) of P.H. DENOVO located on Samuel Lewis St., Bella Vista, Panama City which measurements, boundaries and details are in the Public Registry.

And in effect endorsed in favor of HANS PETER DUWE the sum of ONE HUNDRED FIFTY ONE THOUSAND DOLLARS (US$151,000.00) corresponding to the final payment that must be made to the company for the price of the sales agreement of the property of STARTING ENTERPRISES Inc. distinguished by number one hundred two thousand seventeen (102017) Location Code eight thousand seven hundred six (8706) registered on Redi document two million seven hundred thousand six hundred thirty seven (2007637) in The Horizontal Property Section pf the Public Registry of Panama. 2.
